Referral and Affiliate Program Terms

1. About these terms

1.1 These terms govern our referral program and our affiliate program (each a "Program"). They are offered by Eyad Elhawary for Programming and Artificial Intelligence Solutions (LLC), Commercial Register No. 307454 ("TutoringHQ", "we").

1.2 A person who joins a Program is a "Member". A Center or Private Teacher that signs up and pays through a Member's code or link is a "Referred Account".

1.3 If you are also a TutoringHQ customer, our Terms and Conditions apply alongside these terms. Capitalized terms not defined here have the meaning given in our Terms and Conditions.

2. Who may join

2.1 Anyone with full legal capacity under Egyptian law may join: a Center, a Private Teacher, or a person who is not a customer.

2.2 Each Member chooses one Program when joining and can never switch. The choice is recorded against the Member and against every Referred Account the Member brings, and the reward rules of that Program apply to them.

2.3 We may refuse, suspend or end any membership at any time, in our discretion, and in particular if section 7 is breached.

3. How a referral counts

3.1 A referral counts only when a new Center or Private Teacher signs up with the Member's code or link and pays a Platform Invoice. Signing up alone earns nothing.

3.2 A Referred Account must be new to TutoringHQ. A Member cannot refer itself, an account it owns or controls, or an account that already exists. A referral also earns nothing where the Referred Account shares an Account Owner's mobile number, the InstaPay details saved on either account or a Staff member with the Member, or with an account the Member owns or controls, and we may place such a referral under review.

3.3 The Referred Account receives no free month or other benefit because it used a code, unless an offer published with the code says otherwise.

3.4 Rewards are calculated on the full plan value, meaning the plan line for the Billing Period on the Referred Account's Platform Invoice, at its full price before any offer. Extra Students, plan differences, branches, processing fees, service fees, parent packs and top-up packs earn no reward.

3.5 We decide, in our reasonable judgment, whether a referral qualifies and which Member it belongs to. Our records decide the matter.

4. The referral program (credit)

4.1 Rates. For each Referred Account, the Member earns:

• 20% of the plan value (section 3.4) for the Referred Account's first paid month;
• 10% for its second to sixth paid months;
• 5% from its seventh paid month on.

4.2 Settlement hold. Each reward is held for 30 days from the payment that earned it. It is added to the Member's usable balance only when the hold ends. If that payment is reversed within the hold, the reward is canceled. If it is reversed after the reward was settled, the reward is taken back from the Member's balance, which may go below zero until future rewards cover it.

4.3 Using credit. Settled referral credit is applied automatically to the Member's own TutoringHQ invoices, against plan and product charges only, never against the processing fee or the service fee. Referral credit does not expire.

4.4 Sending credit. A Center owner or a Private Teacher may send settled referral credit to another registered Center or Private Teacher, identified by that account's referral code. There is no fee and no minimum. Credit that is sent stays credit on the receiving side. Credit cannot be sent to or from a person who is not a customer, and downgrade credit or late payment credit cannot be sent.

4.5 Cashing out. A Member may turn settled referral credit into cash only if all of these apply:

• the Member has given us its national ID number and its tax registration number;
• the amount requested is at least 1,000 EGP;
• the Member has no other cash-out request open.

We withhold 5% as tax, pay the rest by InstaPay to the account the Member names, and report the withholding to the tax authority. There is no fee. Without both papers, credit stays credit. We may delay or refuse a cash-out while we review it for fraud or a possible reversal, or where the law requires it.

4.6 Closing an account. Before closing its account, a Member may use, send or cash out its settled credit under this section. Credit that remains when the account closes lapses.

5. The affiliate program (cash)

5.1 Rates. For each Referred Account, the Member earns:

• if the Member is registered for tax with us: 10% of the plan value (section 3.4) for each of the Referred Account's first 12 paid months, with 5% withheld as tax;
• if not: 20% of the plan value (section 3.4) for the Referred Account's first paid month only, with 20% withheld as tax.

5.2 Papers. Every affiliate must give us its national ID number. To be paid at the registered rate, an affiliate must also give us its tax registration number, which we verify, and must upload its monthly invoice to us before each payout.

5.3 Hold and payout. Each commission is held for 30 days after the payment that earned it. We pay settled commissions once a month by InstaPay. The minimum payout is 500 EGP. A smaller balance carries over to the next month. We may hold a payout while we review it.

5.4 If a payment behind a commission is reversed, the commission is canceled or, if already paid, deducted from future payouts.

6. Taxes

We withhold tax at the rates stated above, or at any other rate Egyptian tax law requires, and issue the withholding records the law requires. Each Member is responsible for its own tax affairs on the rest of its rewards.

7. Conduct

A Member must not:

• make false or misleading claims about TutoringHQ, its prices or its features;
• send spam or unsolicited messages, or buy advertising on search terms that include our brand names;
• create fake accounts, refer itself, or refer accounts it controls;
• offer Referred Accounts cash or gifts to sign up, unless we agree in writing;
• present itself as our employee or agent.

If a Member breaches this section, we may cancel all rewards and credit earned through the breach, take back rewards already paid or used, and end the membership.

8. Changes and ending a Program

8.1 We may change the reward rates or rules at any time. A change applies from the date we publish it, to every Referred Account, including those a Member has already brought, and we tell Members in the app or by text message.

8.2 We may end a Program at any time. Rewards earned before the end are settled under these terms, and no rewards are earned after it.

9. Your personal data

We use a Member's national ID number, tax registration number and payout details only to verify the Member, pay rewards, withhold and report tax, and keep the records Egyptian law requires. Access to them is restricted to authorized staff. The Privacy Policy explains how long we keep them and the Member's rights.

10. General

10.1 A Member is independent. Nothing in these terms makes a Member our employee, partner or agent.

10.2 These terms are governed by Egyptian law, and disputes are settled as section 27 of our Terms and Conditions provides, by arbitration in Cairo. If the Arabic and English texts differ, the Arabic text prevails.

10.3 Our total liability to a Member is limited to the rewards owed to that Member and not yet paid or credited.
